I think the main difference between ni and de when they're used with a location is that ni marks where something is and de marks where something happens, Ni wa.

While in many sentences ni can be used to indicate the indirect object, in some sentences it can be used to indicate the person acting, or the Ni wa of some action, in causative and passive sentences, as well as in phrases using the morau construction.
